Netcapital Inc. stock jumped on Friday, despite the company revealing a second compliance issue with Nasdaq. The stock remained under the exchange’s $1 minimum bid level.

Netcapital Inc. (NASDAQ: NCPL) was last seen at $0.706 at 15:33 EDT, up 31.1% from Thursday’s close of $0.5386. Trading volume totaled 102.6 million shares.

The volume of trades far exceeded the scale of the company. The firm had a market capitalization of roughly $4.0 million. As a result, the share price increase on Friday lifted equity value by an estimated $1.0 million.

The share price reached $1.03 during the session before easing back. That momentary peak temporarily lifted it above Nasdaq’s minimum bid-price threshold. However, one session alone is not enough to address that outstanding issue.

Netcapital reported it was issued a delinquency notice on August 24. The company has yet to submit its Form 10-K for the fiscal year ending April 30. The notice does not impact trading at this time Nasdaq release.

The company faces an October 23 deadline to provide a compliance plan. Nasdaq may extend the deadline to February 9, 2027. A public indicator of noncompliance will be posted after five business days SEC filing.

The absence of the annual report is significant as the current figures are preliminary. Netcapital anticipated fiscal 2026 revenue of $460,883, representing a 47% decline. The company also forecast an operating loss of $9.29 million.

The net loss was reduced by 67.4% to $9.23 million. A $19.49 million drop in impairment expense contributed significantly to the improvement. Additionally, the company received a $750,000 insurance recovery late-filing notice.

With analyst coverage insufficient for a reliable consensus, investors must rely on three clear milestones: the audited 10-K, the compliance plan in October, and consistent trading levels above $1.
