NuScale Power (NYSE:SMR) Slips as Dilution Overhang Tests Nuclear Rally

NuScale Power Corporation fell 1.7% to $8.56 on Wednesday. The decline erased part of Tuesday’s 9.4% advance. U.S. markets remained open.

The rebound had no fresh NuScale announcement behind it. Its press-release page shows July 1 as the latest entry.

Instead, the move coincided with broader nuclear-policy headlines. Washington is preparing a civil nuclear agreement with Saudi Arabia. Four U.S. microreactor developers also reached criticality under federal programs.

That distinction matters. Policy can lift the sector before it lifts NuScale’s order book.

The sharper investor signal sits in the company’s equity financing. NuScale sold 22.36 million shares after March 31 for $216.8 million gross. The average sale price was about $9.69.

Wednesday’s quote stood 11.7% below that level. The issue equaled about 6.5% of March-end combined interests. It added cash, but spread future project value across more shares.

Preliminary calculation: roughly $745.3 million of ATM capacity remained after that sale. This assumes no later issuance. At $8.56, the authorization equals about 87 million shares. It is capacity, not a forecast.

The balance sheet partly offsets that overhang. NuScale ended March with $1.01 billion in cash and investments. It reported no debt. Adding the disclosed net proceeds gives about $1.22 billion, before subsequent spending.

But cash needs remain large. First-quarter operating cash use reached $314.7 million. That included a $259.9 million payment to strategic partner ENTRA1 Energy. Revenue was $565,000, while the net loss reached $46.7 million.

NuScale was the weakest name in that snapshot. BWX Technologies has a broader supplier business, so it is not a direct development-stage comparison.

Competition is also moving from paperwork toward physical testing. Four private developers achieved zero-power criticality by July 4. The milestone proves a controlled chain reaction, but generates no commercial electricity. NuScale was not among those four developers.

“For the first time in more than four decades,” Energy Secretary Chris Wright said, “a new privately developed non-light-water reactor has reached criticality.” Reuters

NuScale’s counterweight is its regulatory position. The Nuclear Regulatory Commission approved its US460 design, based on 77-megawatt modules. The NRC is now discussing future license applications that could reference that design.

“We are building the infrastructure that this pivotal moment requires,” Chief Executive John Hopkins said in May. NuScale then cited $1 billion in liquidity and planning for up to six gigawatts with Tennessee Valley Authority through ENTRA1. Those plans are not operating reactors. NuScale Power

NuScale will review second-quarter results on August 5. FactSet expects a loss of 13 cents per share. Analyst targets range from $6 to $25, reflecting unusually wide outcome risk. Investors will focus on cash use, new share sales and binding customer commitments.

Risks remain concentrated in project timing, customer financing and construction costs. Dependence on partners adds another layer. Further equity sales could also dilute existing holders before reactor revenue becomes material.
