Swvl disclosed it had 9,964,344 shares outstanding at the close of the year. The additional block represents 90.23% of this total, bringing the pro forma share count up to 18,954,661. Before factoring in any other issuances, current shareholders would hold 52.57%.

The company closed December holding $4.41 million in cash and cash equivalents. The gross proceeds are thus nearly triple that figure. Prior to fees and expenditures, the total would stand at $17.41 million.

Management intends to finance U.S. growth and provide loans to transport operators. The move will also reinforce the balance sheet. Abdalla Ali, co-founder and managing partner at Coefficient, is set to join Swvl’s board.

Chief Executive Mostafa Kandil described the investment as “powering Swvl’s next chapter.” The funding follows a 68% jump in first-quarter revenue to $8.2 million. Revenue in the Gulf surged 111%, and recurring revenue accounted for 88% of the overall total. Swvl announcement

The scale of the funding outweighs the importance of the headline figure. Valued at $13 million, it represents 58.24% of Swvl’s posted $22.32 million market capitalization at 10:16 EDT. Nearly 50% of the company’s equity post-transaction will belong to the incoming investors.

Analyst coverage is limited. MarketBeat lists a single active rating—Sell from Weiss Ratings—and lacks any consensus price target. With such a small sample, its usefulness for valuation reference is restricted.

The stock is still trading under its 52-week peak of $4.01. On Tuesday, shares changed hands between $2.07 and $2.50, highlighting continued low-float volatility even as the balance sheet improves.

Risks: The transaction remains subject to standard closing conditions. Fees will reduce net proceeds compared to the gross amount. Swift growth in the U.S. and increased transport loans may draw on cash reserves, and the registration for resale might boost the supply in an already volatile share market.

One-rating coverage is too thin for a robust consensus. Quoted valuation uses the pre-closing share count.

What the market is pricing

The rally says immediate liquidity and U.S. expansion capacity outweighed dilution at the opening. Gross proceeds equal 58.24% of the quoted market cap, an unusually large balance-sheet intervention for a company of this size.

What can break the thesis

Closing failure, issuance and resale supply, weak U.S. unit economics, rapid cash deployment or operator-credit losses could reverse the move. Low average volume makes Tuesday’s price discovery especially fragile.
