The floor controls the stock issued for the acquisition of LivePerson NASDAQ:LPSN. If the price stays higher throughout the 10-day pricing window, it will be surpassed. Until that happens, the share count, determined by the price, remains mostly unchanged.
SoundHound’s most recent pro forma filing provides new insight. It reports first-quarter revenue rising to $101.2 million from $44.2 million. Basic weighted shares are up by 10.1%.
Based on preliminary data, revenue per basic share rises 108%. This provides the most evident counter to dilution.

Attention is also required for the improvement in operating margin. SoundHound’s GAAP results for the quarter reflected a $39.4 million fair-value gain on acquisition liabilities, which was a non-cash item.
The deal’s initial accounting consideration amounted to $271.8 million, but does not represent a new cash offer. The figure includes SoundHound shares allocated to resolve LivePerson’s debt and equity obligations.

The wider development is significant. Shares connected to AI fell steeply on Friday, dragging the Nasdaq 1.4% lower. Speculative growth stocks now face increased vulnerability to more swings.
SoundHound is not scheduled to hold any investor events from July 20–24. Market participants are expected to focus on merger filings and broader AI sector activity. The Nasdaq will remain open throughout the week, with no holiday closure planned.
LivePerson shareholders are scheduled to vote on the transaction at 10 a.m. Eastern on August 20, leaving formal approval of the deal outside the upcoming week.
Risks are significant. The merger may encounter approval setbacks, higher integration expenses, or a loss of customers. Early revenue gains do not ensure positive cash flow.
The $6.27 pricing collar removes an element of uncertainty. However, the primary challenge for the stock now is execution.
