In the transcript, chairman Tom Lee asked shareholders to vote in favor of increasing authorized shares to 50 billion from 500 million, arguing the change would support capital markets activity and make large stock splits possible if the company’s share price rises with ether. “That doesn’t mean we’re issuing 50 billion shares,” Lee said. A stock split increases the number of shares outstanding and reduces the price per share, without changing the company’s overall market value in the moment. Companies need enough authorized shares to carry out large splits, because the split multiplies the number of shares each investor holds.
