Fannie Mae Shares Advance Following Executive Departures With $238 Billion Treasury Claim Pending

WASHINGTON, August 21, 2026, 15:08 EDT

  • The Wall Street Journal said that no fewer than 10 senior officials at Fannie Mae are leaving.
  • At 13:47 EDT, FNMA rose 1.24%, closely tracking gains seen by Freddie Mac.
  • A $238 billion Treasury claim distorts book-value comparisons for holders of common shares.

Shares in Federal National Mortgage Association advanced on Friday despite ongoing upheaval among its top executives. At least 10 senior leaders are departing, The Wall Street Journal reported. Multiple executives learned on Wednesday that their roles were being cut.

The resignations introduce execution uncertainties for the company underpinning a large portion of the U.S. mortgage sector. Still, the initial stock response remained subdued. FNMA was at $6.27 at 13:47:28 EDT, an increase of 1.24% for the session, with Federal Home Loan Mortgage Corporation rising 1.25%.

The similar movements indicate that investors may have traded the pair based on mutual policy expectations rather than only reacting to the news about Fannie’s management. This is an interpretation, not an official explanation. Both firms are still under federal conservatorship, with the value of their common equity still dependent on Washington’s decisions.

Fannie’s core operations continue to generate strong profits. The company posted a $4.0 billion profit in the second quarter, an increase from $3.7 billion in the previous quarter. Its guaranty portfolio expanded to $4.1 trillion, the official earnings release showed.

Chief Financial Officer Chryssa Halley said in the release, “Our second quarter results highlight our large, stable revenue base.” That stability is now set to be tested by changes in leadership. Fannie has appointed Peter Akwaboah as acting chief executive, in addition to his role as chief operating officer.

Fannie’s $116.5 billion in GAAP net worth makes its common stock appear particularly undervalued. The market capitalization of $7.26 billion is just 6.2% of that amount. However, owners of common shares do not enjoy straightforward rights to the reported book value.

The Treasury’s senior preferred liquidation preference increases to $238.0 billion as of September 30, exceeding Fannie’s net worth by more than twofold. Treasury additionally owns a warrant permitting acquisition of 79.9% of fully diluted common shares at a nominal cost.

Capital represents an additional significant constraint. Fannie stated it faced a $208 billion deficit relative to its risk-based adjusted total capital requirement, inclusive of buffers. The company also noted that, under conservatorship terms, no dividends could be paid to holders of its public common or preferred shares.

Analyst targets show an unusually large spread. B. Riley sets its target at $7, while BTIG aims for $20, highlighting diverging outlooks on recapitalization, dilution, and conservatorship exit. Standard earnings multiples provide little guidance when policy decisions influence residual value.

The leadership changes are significant not mainly due to costs over a single quarter, but because of how they affect execution. Fannie faces the tasks of overseeing underwriting, credit risk, and an extensive securitization platform, all while regulators weigh its long-term path. With fewer senior leaders, those responsibilities may become more challenging.

Risks: The impact of reported exits could be contained if replacements are found swiftly. However, additional departures, worsening mortgage credit, or highly dilutive recapitalization could lower the value of common shares. Adjustments to conservatorship would need federal intervention and remain unpredictable.

Investors now require two distinct indicators. The initial indicator is proof that Fannie can maintain operational stability following the exits. The more significant signal involves any viable plan to address Treasury’s $238 billion senior claim and the firm’s capital shortfall.
