Jupiter Neurosciences shares gave up much of an earlier 67% rally on Tuesday after securing U.S. rights for a trial-stage MDMA drug. The stock was up 6.2% at $0.1752 as of 12:50 p.m. EDT.
Nasdaq continued trading. Trading volume hit 325.8 million shares, totaling 6.8 times Jupiter’s most recently reported share count.
Financing becomes a key focus for the investment case amid the churn. Jupiter’s addition of a second clinical program broadens its pipeline, while introducing further capital needs.
PharmAla Biotech Holdings Inc. CNSX:MDMA has awarded Jupiter exclusive, perpetual rights for ALA-002 in the United States. Jupiter will pay $3.33 million upfront, including $1.5 million in cash and $1.833 million in shares.
The remaining $96.67 million is tied to clinical, regulatory, and sales milestones, making up 96.7% of the deal’s reported total. A 3% royalty is triggered after the last commercial milestone is reached.

As of March 31, Jupiter reported cash of $2.36 million. The company’s current liabilities totaled $6.73 million, almost double its current assets. Net cash used in operating activities for the quarter was $1.43 million.
The balance sheet reflects data from before the May fundraising. Jupiter issued 7.14 million shares at $0.28 each, securing roughly $2 million in gross proceeds. On Tuesday, the share price was 37.4% under the offering price.
Dilution has been significant to date. SEC filings indicate that the number of outstanding shares increased by 32.9% from May 14 to June 17.
Jupiter has filed to register as many as 16 million more shares for potential issue and resale via its Yorkville facility. The company stated these issuances would dilute current shareholders.
Chief Executive Christer Rosén stated the company is prioritising disciplined clinical execution and careful capital allocation. He additionally recognized the unavoidable risks that come with clinical development.
ALA-002, a patented non-racemic MDMA formulation, is not approved and its safety and effectiveness have not been determined. Jupiter’s JOTROL program is undergoing a Phase IIa trial for Parkinson’s.
The trading pattern indicates that investors placed little immediate worth on future milestones. This can be inferred from the terms of the agreement and the 36.5% drop from Tuesday’s high.
Risks: Both initiatives are still in early development. Jupiter has identified significant uncertainty around its ability to remain a going concern. Clinical disappointments or additional equity offerings may reduce shareholder value.
The immediate concern for investors is financing. The $100 million amount is still largely subject to conditions.
