Alphabet Inc. was granted a warrant covering as many as 58,970,907 shares of Marvell. The warrant carries an exercise price of $206.58 per share. Vesting is structured over 240 tranches, each linked to $500 million in purchases.

The dilution depends on conditions. Nearly all shares will vest only if Google purchases $120 billion of custom products by the end of fiscal 2033. This buying requirement is 14.6 times Marvell’s projected fiscal 2026 revenue.

Reuters Breakingviews now projects the deal may push forecast 2032 sales beyond $62 billion, compared to a previous estimate of around $43 billion. This difference highlights that the real driver of value will be execution rather than just the warrant.
