Cipher Digital dropped 15.7% on Tuesday after reporting Q2 revenue and earnings below expectations. Premarket trading, which was delayed, saw the stock rebound 0.6% to $20.50. U.S. regular trading hours had not resumed.

The more pressing concern for investors is accessible cash. As of June 30, $3.73 billion out of a total $4.56 billion was allocated solely for projects, equating to roughly 82%.

This alters the valuation perspective. An initial bridge places the figure between 12.4 and 17.1 times anticipated average yearly net operating income, subject to cash handling.

The quarter fell short on both revenue and earnings per share. Data is sourced from company filings and estimates provided by FactSet.

Revenue declined 43% compared with the same period last year. Adjusted EBITDA shifted to a loss of $30.0 million, after reporting a $32.3 million profit previously.

The GAAP loss of $267.5 million factored in a non-cash warrant charge of $150.5 million. Interest expense increased to $66.7 million, up from $1.1 million the previous year.

Bitcoin mining remained Cipher’s exclusive revenue source in Q2. Revenue from renting out Black Pearl’s high-performance computing capacity commenced in August, after the quarter concluded. CEO Tyler Page stated Cipher “delivered our first HPC data center capacity ahead of schedule.” Cipher Digital Inc.

Implementation varies at each campus. Black Pearl has begun rent payments. Project timelines are still based on management’s estimates.

Management states it has secured contracts for 700 MW of gross HPC capacity, with contracted revenue totaling $11.4 billion. It anticipates average annual net operating income of $793 million between October 2026 and September 2036. This figure is not a current EBITDA metric.

The restricted-cash allocation results in a 4.7-turn difference in this initial bridge, based on Tuesday’s market value and June 30 balances.

Cipher’s Chief Financial Officer Greg Mumford stated the company “does not expect to require additional equity” based on present forecasts. However, he added that equity could be needed if the company pursues significantly larger leases in the future. Investing.com

IREN Ltd. $40.85+2.74%$13.63bn

The trend indicates selective repricing by company, rather than a broad pullback from AI-related miners. Cipher’s earnings shortfall and constrained cash position probably played a larger role.

Cipher declined by 3.6% during the week ending July 31, closing at $22.32. Shares rebounded 8.2% on Monday, then dropped 15.7% on Tuesday.

Conference presentations are scheduled for August 11 and 12 next week. Investors plan to examine Black Pearl rent, the anticipated September delivery at Barber Lake, and forthcoming funding requirements.

Risks: The $793 million NOI projection from management is still a long-term estimate. The 4.4 GW pipeline depends on ERCOT’s batch procedures. Fluctuations in labor and equipment costs, bitcoin market prices, tenant schedules and $6.02 billion in debt may impact returns.

Further analysis

What led to the market reacting negatively to Cipher’s second-quarter results?
Cipher shares ended at $20.38 on August 4, dropping 15.7%. Revenue stood at $24.84 million, 21.7% below consensus estimates. Adjusted EBITDA came to negative $30 million. The GAAP loss totaled $267.5 million, with a $150.5 million non-cash warrant charge. The operating shortfall was substantial. The headline loss figure held less significance. Google
At what point should the HPC pivot start affecting reported outcomes?
Cipher did not report HPC lease revenue up to June 30. Black Pearl lease payments started in August, ahead by two months. Barber Lake aims for completion in September with rent set for October. Stingray is scheduled for delivery in the first half of 2027. Management estimates contracted NOI at $97 million for 2026 and $686 million for 2027. Apollo may provide an additional 900 MW, pending ERCOT approval. Cipher Digital Inc.
Is there sufficient margin in the present valuation to accommodate execution risk?
Cipher had a market capitalization of $8.34 billion at $20.38 per share. Factoring in management's net debt figure of $1.46 billion results in an enterprise value close to $9.8 billion. This represents approximately 12.4 times its average annual contracted NOI estimate of $793 million. However, projected NOI for 2026 stands at just $97 million. Corporate expenses and interest are not included in NOI. The company's ability to deliver will determine its valuation.
Is Cipher able to finance construction without exerting pressure on shareholders?
Cipher’s total debt rose to $6.02 billion. The company reported $4.56 billion in cash holdings, with $3.73 billion of that amount restricted for projects. Cash at the corporate level stood at $832 million. Interest expense for the second quarter was $66.7 million. Supplier obligations amounted to $2.17 billion, largely attributed to leased HPC facilities. Project financing provides support. There are still significant risks from potential cost overruns.
How reliable is Cipher’s $11.4 billion in contracted revenue?
Cipher holds 700 MW secured under primary leases set for 10–15 years. Management projects contracted revenue of $11.4 billion. Rent begins in phases, and failure to meet key milestones may result in credits or other corrective actions. Google guarantees Fluidstack’s commitments at Barber Lake. Meanwhile, Google was granted warrants covering 24.18 million shares, each at $0.01. Dilution accompanied credit protection.
How do analysts interpret the consensus following the market selloff?
Google Finance shows 10 recent analyst ratings for the stock, all listing it as Buy. The mean price target stands at $32.20, spanning a $25–$47 range. This suggests a potential 58% gain from the August 4 closing price. Most price targets were set before the latest earnings release. H.C. Wainwright maintained its $30 price target on August 4. Market sentiment remains positive, though consensus figures have yet to fully account for the latest results. Google
