  • Cipher Digital stock gained 7.4% on Friday, as trading volume climbed 31% above the average.
  • Morgan Stanley reported a beneficial ownership stake of 26.28 million shares, representing 6.3%.
  • The following step is to transform three HPC projects into ongoing rental agreements.

Cipher Digital Inc. NASDAQ:CIFR rose 7.4% to $17.855 on Friday, with 36.24 million shares changing hands. U.S. stock markets are shut over the weekend.

The advance came after a Thursday filing from Morgan Stanley NYSE:MS. Its reporting entities reported holding 26.28 million shares of Cipher, equal to 6.3% of the company as of June 30.

The filing is significant as Cipher requires long-term investment to support its expensive transition. The company is pivoting from bitcoin mining to leasing out AI data centers. While the stake brings institutional credibility, construction risk persists.

The 13G reflects past holdings. Morgan Stanley disclosed its position as of June 30 and confirmed that it obtained the securities through regular business activity. The filing does not indicate the start of an activist effort.

Cipher is still in the initial stages of its operational transition. Revenue for the second quarter dropped by 43% to $24.8 million, generated solely from bitcoin mining, as no HPC lease agreements had started prior to June 30.

The revenue composition started to shift in August. Chief Executive Tyler Page stated that initial capacity at Black Pearl was brought online sooner than planned, with rental income beginning. Barber Lake had achieved partial occupancy, and Stingray continued to progress as scheduled.

Capital intensity is the tougher figure. As of June 30, Cipher reported $2.17 billion in supplier commitments. Cash and equivalents stood at $831.8 million. Restricted cash contributed another $3.73 billion, mainly earmarked for project financing.

The structure eases funding demands at the parent level and makes meeting delivery milestones essential. The $810 million in Stingray secured notes pay a 6% coupon and are due in 2031. Principal payments begin only once the facility is completed.

Wall Street sentiment is very bullish. However, there is a significant spread in forecasts due to questions about construction expenses, delivery schedules and upcoming rental income. The five latest targets listed below are between 68% and 163% higher than Friday’s closing price.

The general outlook is positive as well. Last month, sixteen analysts monitored by S&P Global maintained a Strong Buy recommendation with an average price target of $32.63. That represents an 82.7% potential increase from Friday’s closing price. Projections are not assurances.

Risks: Cipher is required to complete multiple major projects and manage expenses. If it fails to meet delivery or service deadlines, tenant remedies may be triggered. The business continues to operate at a loss, and issuing more shares might dilute existing investors.

Investors will watch for any continued momentum next week after the 13G-related interest. There are no company events scheduled for the upcoming week. A stronger indicator will be confirmation that August rent begins to generate steady cash flow from construction spending.

Further analysis

Why did Cipher Digital stock rise on Friday?
Cipher Digital rose 7.4% to $17.855 after Morgan Stanley disclosed a 6.3% beneficial stake. Volume was 31% above the three-month average. The timing supports an institutional-interest explanation, but the filing does not prove what caused the rally.
Does Morgan Stanley's stake change Cipher Digital's fundamentals?
No. The position was reported as of June 30 and was acquired in the ordinary course. It is not an activist filing. Cipher's value still depends on completing its data centers and turning newly commenced HPC rent into durable cash flow.
What is the biggest risk for Cipher Digital investors now?
Execution is the central risk. Cipher had $2.17 billion of supplier commitments at June 30, while HPC rent had not yet started. Project financing and restricted cash support the buildout, but delays, cost overruns or tenant remedies could weaken returns. The company also remains loss-making.
