Nebius Group N.V. NASDAQ:NBIS fell 15.0% on Friday, finishing at $187.77. The decline almost wiped out the gains seen after Tuesday’s filing. Despite this, shares ended the week up 5.7%.
The filing reflected fewer new purchases than its headline indicated. NVIDIA’s disclosed holding included 22.26 million shares, with 21.07 million—equal to 94.6%—comprised of warrants.
NVIDIA purchased the pre-funded warrant on March 11. The company is unable to exercise this warrant prior to September 11, and it is also restricted from selling the associated shares before that time.
Under SEC regulations, the warrant was included when exercise was possible within 60 days. The filing did not indicate recent purchasing activity last week. Trading patterns imply investors momentarily factored in an endorsement premium.
The premium quickly faded. On Friday, the price dropped by $33.20, wiping out 96.8% of the $34.30 increase seen on Tuesday. Shares of other companies in the sector also experienced significant declines.

Nebius posted a higher weekly return than CoreWeave, but its performance lagged behind IREN’s advance. The stock saw a Friday volume of 23.95 million shares, 34% above its 65-day average.
The decision came as investors voiced wider concerns regarding the expense of AI development. Alphabet Inc. NASDAQ:GOOGL had raised its capital expenditure plans further. U.S. growth funds saw $8.55 billion withdrawn by Wednesday.

Nebius moved to ease funding strain. On July 17, it obtained a $775 million senior facility. The loan is supported by deployed GPUs and customer cash flows under contract.
The facility is set to mature on October 31, 2030, with pricing at SOFR plus 2.5 percentage points. According to Nebius, it exceeds 100% of the related capital expenditure. “An important step,” Chief Operating Officer Ophir Nave said.
The company reported securing more than $40 billion in extra contracted revenue. It identified Microsoft Corporation NASDAQ:MSFT and Meta Platforms, Inc. NASDAQ:META as clients. Nebius stated its newest tranche of Microsoft capacity has been fulfilled.
Expansion continues to require significant capital. Revenue for the first quarter increased 684% to $399 million. Adjusted EBITDA, excluding GAAP measures, was $129.5 million. Spending on property, equipment and intangibles amounted to $2.47 billion.
Nebius in May lifted its 2026 capital expenditure outlook to between $20 billion and $25 billion, up from an earlier range of $16 billion to $20 billion. As a result, client budgets continue to be a key factor in its valuation.
Meta and Microsoft will announce results following Wednesday’s market close. The Federal Reserve will also conclude its meeting on July 28-29. As of late Friday, futures indicated a 38% probability of a quarter-point rate hike.
Risks are still elevated. Nebius needs to roll out capacity as scheduled and hold on to key clients. Increased debt expenses, schedule setbacks, or softer AI demand could reduce returns. The swift reversal on Friday highlights how rapidly those risks can be reassessed.
NVIDIA’s submission offered strategic confirmation, though it did not include new purchases last week. Friday’s turnaround shifted focus to delivery, financing, and customer expenditure as upcoming challenges.
