Shares of Critical Metals Corp. NASDAQ:CRML jumped 22.59% on Friday, but the advance still fell short of an important merger benchmark. The closing price of $7.11 stayed under the updated transaction’s $8 minimum.
This keeps the top exchange ratio of 0.045 in consideration under a spot-price example. An initial model indicates that net share issuance could total 32.1 million shares, compared to 14.9 million under the previous fixed terms.
The distinction is significant. The straightforward net rise is 2.16 times greater. It represents 21.9% of Critical Metals’ June share total, compared with 10.1% using the previous ratio.

Critical Metals updated its proposed acquisition terms for European Lithium Limited ASX:EUR on Wednesday. The previous fixed exchange ratio of 0.035 was changed to a floating ratio that ranges from 0.045 to 0.025. The determination will be based on the 20-day volume-weighted average price of Critical Metals prior to the scheme meeting.
If the scheme VWAP is $8 or less, each European Lithium share will convert to 0.045 Critical Metals shares. For a VWAP of $16 or higher, the conversion is 0.025 Critical Metals shares per European Lithium share. Between these VWAP values, the conversion ratio changes on a linear scale.

An unusual aspect of the deal is the cross-holding structure. European Lithium holds 45,536,338 shares in Critical Metals. Following completion, Critical Metals plans to cancel these shares, partially balancing out the newly issued shares.

Mike Hanson, director at Critical Metals and head of the special committee overseeing the deal, said the revised agreement shields investors on both sides from short-term market swings. He noted the strategic rationale remains the same.
The agreement would increase Critical Metals’ stake in Tanbreez from 92.5% to full ownership. The transaction would also transfer European Lithium’s cash and marketable securities to the group. As of March 31, European Lithium reported cash holdings of approximately A$306 million, while Critical Metals listed standalone cash of about $124 million.

Critical Metals gained an estimated $192.4 million in value on Friday, based on the June share count. The stock remains 77.9% under its 52-week peak of $32.15. Volatility continues to be high.
