According to the document, a wholly owned Amazon subsidiary agreed to an equity commitment for $35 billion in OpenAI Series C preferred shares, guaranteeing the full amount. That’s in addition to a separate $15 billion Series C investment that Amazon says it must purchase by March 31, 2026, pending closing conditions. The filing specifies that the $35 billion commitment can be tapped gradually, but it becomes binding once certain milestones are reached or if OpenAI goes public in the U.S., with a final cutoff set for Dec. 31, 2028.
