SAN JOSE, California, August 31, 2026, 05:54 EDT — PayPal Holdings Inc (PYPL.O) shares fell 12.7% after reporting an operating margin of 17.4%, raising questions over the company’s efforts to recover as an independent business.

PayPal Holdings (NASDAQ: PYPL) fell 12.7% on Friday after a reported $53 billion acquisition attempt was called off. The decline wiped out about $6.9 billion in market value and eliminated a $60.50-per-share valuation reference.
Shares ended the session at $53.66, with 36.3 million shares traded. This price was 11.3% under the reported bid, refocusing attention on the turnaround as the main investment argument Reuters.
The withdrawal of the bid is significant as PayPal continues to show mixed operating results. In the second quarter, revenue climbed 5% to $8.68 billion, and total payment volume was up 9% to $486.4 billion.
Profit conversion declined. Transaction-margin dollars increased by just 1% to $3.9 billion, while adjusted operating margin decreased by 248 basis points to 17.4% PayPal results.

The modest earnings multiple provides backing. As of Friday’s close, the price is roughly 10 times management’s adjusted EPS guidance, not accounting for the discrepancies between adjusted and GAAP earnings.
Still, the margin trajectory accounts for some of that discount. Increased revenue did not lead to operating leverage because PayPal invested in cloud migration, fraud prevention, and customer acquisition.
The company forecasts about $400 million in savings by the end of the year. In its July update, PayPal said transformation charges might total $140 million in the second half Reuters.
PayPal increased its 2026 transaction-margin-dollar forecast to approximately $15.6 billion, just slightly ahead of its 2025 projection of $15.5 billion, offering limited buffer for any execution missteps.
The branded checkout serves as the commercial test. Executives must maintain market share and grow Venmo, debit card, and buy-now-pay-later offerings, all while avoiding higher promotional spending.
The upcoming catalyst is the release of third-quarter results. Investors are expected to seek signs of increased transaction-margin growth and indications that cost savings are balancing out modernization expenditures.
Risks: A fresh takeover attempt may rapidly close the discount. On the other hand, softer checkout growth, increased regulatory scrutiny, or a further margin shortfall could leave shares trading under the previous bid level.
