Shareholder lawsuit prompts governance concerns

The amended complaint for McCollum v. Witty, identified as case 0:24-cv-02643-JMB-JFD, was submitted in the U.S. District Court for Minnesota as Document 71. The Employees’ Retirement System of Rhode Island and Länsförsäkringar Fondförvaltning AB are among the plaintiffs.

The complaint accuses the company of lapses in Medicare Advantage coding, decisions on coverage, privacy and cybersecurity measures at Change Healthcare, insider stock sales, and share buybacks. It further claims an internal review identified no less than $200 million in Medicare diagnoses or claims lacking support prior to the suspension of the program. The allegations have not been ruled upon.

The derivative suit aims to secure recovery for UnitedHealth and implement governance changes, but does not specify an amount of damages. UnitedHealth declined to comment on the lawsuit, Claims Journal reported. In a statement released in July 2025, UnitedHealth said it remained confident in its practices and was cooperating with official civil and criminal inquiries from the Department of Justice.

UnitedHealth’s most recent Form 10-Q reports that government probes, subpoenas and investigations are ongoing. Some relate to adherence with Medicare risk-adjustment coding rules. CMS and OIG audits may result in retrospective payment changes, and losses tied to various legal issues remain unquantifiable.

The regulatory outlook is varied. CMS has approved an average boost of 2.48%, totaling over $13 billion, in 2027 Medicare Advantage payouts. Factoring in projected risk-score trends, that figure climbs to 4.98%. CMS will continue to leave out most diagnoses found in unlinked chart-review data.

The Change Healthcare breach continues to be included in the risk file. HHS stated that, as of July 31, 2025, Change Healthcare had reported nearly 192.7 million impacted individuals. UnitedHealth’s most recent annual report posted a $799 million boost to reserves allocated for anticipated uncollected provider loans and related balances linked to the event.

Operating rebound reflected in second-quarter earnings

The lingering legal issues stand in contrast to improved operational performance. UnitedHealth’s second-quarter report indicated a 55.2% increase in operating earnings and a 61.0% jump in attributable net income. The medical-care ratio was lower by 270 basis points. Chief Executive Stephen Hemsley said the figures and projections showed “continuing progress” in simplifying operations.

Management increased its 2026 guidance, projecting adjusted EPS between $19.50 and $20.00. The company forecasts operating earnings to exceed $25.45 billion, operating cash flow around $24 billion, and a minimum of $5 billion allocated to share buybacks.

The midpoint of adjusted EPS guidance at $390.35 suggests a multiple of around 19.8 times. In comparison, the trailing multiple stood at approximately 25.2 times. This valuation reflects expectations for substantial earnings improvement over the past 12 months.

Market lags behind Wall Street targets

The WSJ/FactSet consensus rates the stock as Overweight, with 19 analysts assigning a Buy, four giving Overweight, six Hold and one Underweight ratings. The median target stands at $490, suggesting a potential 25.5% gain, while the average target of $481.52 points to a 23.4% increase. Targets represent analyst opinions and are not assured results.
