Ondas Shares Drop 4.7% Before Market Open as Aran Agreement Prices Revenue at 1.9x Sales

WEST PALM BEACH, Fla., August 18, 2026, 06:51 EDT

  • Shares of Ondas were priced at $8.58 before markets opened on Tuesday, falling 4.7%.
  • The all-share Aran transaction assigns a $33.9 million value to $18.3 million in 2025 revenue.
  • This represents 1.85 times sales, compared to Ondas’ 9.54 times on 2026 forecasts.

Shares of Ondas Inc. declined 4.7% to $8.58 during premarket trading on Tuesday, after the company announced an all-stock deal worth $33.9 million to acquire Aran Defense. On Monday, Ondas had already fallen 2.6%.

Stock chart for NASDAQ:ONDS

The acquisition price is small compared to Ondas’ $5.13 billion market capitalisation. Of greater note is its revenue profile. Aran Defense posted $18.3 million in sales for 2025, valuing the deal at 1.85 times revenue.

Ondas is valued at approximately 9.54 times the midpoint of its projected 2026 revenue. In contrast, Aran’s multiple is nearly 81% less. This comparison uses Aran’s historical sales and Ondas’ estimated future revenues, and Aran has yet to reveal its margins.

Aran Research & Development is set to divest its entire stake in the defense division. The division is responsible for mechanical and electronic design, software, prototypes, and series production. Ten percent of the payment will be held in escrow for 18 months.

The deal remains subject to approvals from competition authorities and other regulators in Israel. Aran’s parent company estimated a projected pretax profit of roughly $25.4 million. The firm additionally committed to a four-year worldwide non-compete agreement related to the divested defense operations.

A low acquisition multiple may generate value for Ondas, provided Aran’s revenues are maintained. However, the prompt issuance of equity continues to dilute any prospective upside among a larger pool of shares. By the end of trading on Monday, the projected 3.77 million fresh shares accounted for approximately 0.66% of the current 570.55 million shares in circulation.

The market is balancing the potential dilution with strong reported growth. Ondas reported second-quarter revenue at $83.8 million, a rise from $6.3 million in the same period last year. The pro forma backlog climbed to $757 million after factoring in two acquisitions completed in the third quarter.

Expenses climbed at a quicker pace. The adjusted EBITDA loss expanded to $50.6 million compared to $5.8 million. Gross margin on a reported basis declined by ten percentage points, reaching 43.1%.

Management is now aiming for 2026 revenue between $525 million and $550 million. Expected third-quarter revenue is set at $140 million to $155 million. Chief Executive Eric Brock said that volume deliveries are anticipated to scale up across major programs during the second half.

“We anticipate our momentum will pick up further in the second half of 2026,” Brock stated. Ondas aims to achieve operating-platform adjusted EBITDA profitability by the final quarter. The company does not project overall profitability until late 2027. Ondas

The next challenge for investors is execution. Aran expands engineering and manufacturing capacity with a low sales multiple. On its own, it contributes little to the yearly revenue goal.

Risks: The transaction may encounter regulatory holdups or not complete. Ondas’ share total could increase if the company deteriorates. Costs related to integration, inconsistent defense contracts, and margin declines might diminish any gain from the purchase price.

Further analysis

Why was Ondas stock down before Tuesday's open?
Ondas traded at $8.58 in premarket dealing, down 4.7% from Monday's $9.00 close. The move followed news of its $33.9 million all-stock agreement for Aran Defense. The decline does not prove the deal caused the selling, and premarket prices can change sharply before regular trading.
Does the Aran Defense acquisition look expensive?
The headline price equals about 1.85 times Aran Defense's $18.3 million of 2025 revenue. Ondas trades near 9.54 times the midpoint of its 2026 revenue target. That is a wide discount, but the comparison uses trailing revenue for Aran and forward revenue for Ondas. Aran's margins were not disclosed.
How much dilution could Ondas shareholders face?
A preliminary estimate at Monday's $9.00 close implies about 3.77 million new shares. That equals roughly 0.66% of Ondas' current 570.55 million shares. The actual count remains uncertain because the deal uses the average Ondas price during the five trading days before allocation.
What matters more than the purchase price?
Execution matters most. Ondas reported $83.8 million of second-quarter revenue and $757 million of pro forma backlog. It also posted a $50.6 million adjusted EBITDA loss and a lower reported gross margin. Investors need evidence that acquired revenue converts into cash earnings.
What are analysts expecting for Ondas stock?
Google Finance lists eight buy ratings, no holds and no sells from the past three months. The average target is $19, 111% above Monday's close. Targets range from $13 to $25. Those targets are opinions, not forecasts with assured outcomes.
What should investors watch next?
Watch Israeli regulatory approvals, the final share count and Aran's contribution after closing. Ondas also needs to deliver its $140 million to $155 million third-quarter revenue target. Margin recovery will show whether its acquisition-heavy model is creating operating leverage.
