Shares of Ondas Inc. NASDAQ:ONDS declined 4.7% to $8.58 during premarket trading on Tuesday, after the company announced an all-stock deal worth $33.9 million to acquire Aran Defense. On Monday, Ondas had already fallen 2.6%.
The acquisition price is small compared to Ondas’ $5.13 billion market capitalisation. Of greater note is its revenue profile. Aran Defense posted $18.3 million in sales for 2025, valuing the deal at 1.85 times revenue.
Ondas is valued at approximately 9.54 times the midpoint of its projected 2026 revenue. In contrast, Aran’s multiple is nearly 81% less. This comparison uses Aran’s historical sales and Ondas’ estimated future revenues, and Aran has yet to reveal its margins.

Aran Research & Development TLV:ARAN is set to divest its entire stake in the defense division. The division is responsible for mechanical and electronic design, software, prototypes, and series production. Ten percent of the payment will be held in escrow for 18 months.
The deal remains subject to approvals from competition authorities and other regulators in Israel. Aran’s parent company estimated a projected pretax profit of roughly $25.4 million. The firm additionally committed to a four-year worldwide non-compete agreement related to the divested defense operations.

The market is balancing the potential dilution with strong reported growth. Ondas reported second-quarter revenue at $83.8 million, a rise from $6.3 million in the same period last year. Management is now aiming for 2026 revenue between $525 million and $550 million. Expected third-quarter revenue is set at $140 million to $155 million. Chief Executive Eric Brock said that volume deliveries are anticipated to scale up across major programs during the second half.

The next challenge for investors is execution. Aran expands engineering and manufacturing capacity with a low sales multiple. On its own, it contributes little to the yearly revenue goal.
Risks: The transaction may encounter regulatory holdups or not complete. Ondas’ share total could increase if the company deteriorates. Costs related to integration, inconsistent defense contracts, and margin declines might diminish any gain from the purchase price.
