The deal eliminates a liability and converts creditor claims into common stock. With 83.44 million shares changing hands by the cutoff, dilution outweighed the benefit of interest savings.
In December, Reitar sold two notes worth $1.1 million each, receiving $2 million in cash. Both notes converted at 90% of the lowest daily volume-weighted average price over a set lookback period. The conversion price was not fixed, but variable December 2025 SEC filing.

No cash changed hands. Still, on March 31, Reitar’s cash holdings stood at just $1.10 million. The principal amount of the retired note was double that figure.

Additional details from operating performance: Revenue for fiscal 2026 declined 41% to HK$222.0 million, equivalent to $28.3 million. Gross margin dropped to 7.0% compared with 15.9% fiscal 2026 Form 20-F.
Reitar posted a net loss of $18.8 million. The company used $9.6 million in operating cash. Its largest five customers accounted for 76.8% of revenue, with one customer representing 33.8%.
The board gave approval for a $3 million buyback on August 21, representing 53% of the present market capitalization. The initiative is discretionary, and Reitar has yet to report any purchases as completed repurchase announcement.

Chief Executive Chan Kin Chung stated the conversion “retired US$2.2 million of indebtedness without expending any cash.” The company reported this action maintained liquidity. It did not disclose the equity cost.
