    January 27, 2026, 5:45 AM EST. Peabody Capital PLC and Peabody Capital No 2 PLC have launched a consent solicitation for holders of their outstanding secured bonds totaling over £1.25 billion. The solicitation seeks approval to replace the current issuers with Peabody Trust as the principal debtor for bonds maturing between 2034 and 2053. The bonds include a 5.25% £200 million issue due 2043, a 2.75% £350 million sustainability bond due 2034, a 3.25% £450 million bond due 2048, and a 4.625% £350 million bond due 2053. This move requires extraordinary resolutions from bondholders and adheres to the terms and trust deeds governing the bonds. The substitution aims to streamline issuer structure but is not open to U.S. persons or residents due to regulatory restrictions.
