Workday Shares Steady With 18% Rise as Silver Lake Takeover Discussions Suggest $54 Billion Deal

NEW YORK, August 14, 2026, 08:09 EDT — Shares of Workday, Inc. remained close to Thursday’s closing price of $206.45 in premarket trading on Friday after news of acquisition talks with Silver Lake sent the stock up 18%.

Workday shares surged 17.78% on Thursday, boosting its market value by about $8.1 billion. Reuters reported that Silver Lake is in discussions regarding a possible takeover, but a transaction is not certain.

Investors are now focusing on price as well as probability. Applying a typical 25% premium to Workday’s undisturbed value would result in an equity valuation of approximately $53.75 billion, which is nearly the size of Silver Lake’s around $55 billion deal for Electronic Arts Inc. .

Shares ended Thursday 17.8% above the estimated undisturbed price of $175.29. That means just around 6% potential upside to the midpoint scenario remains, offering a thin buffer should talks break down.

Workday’s cash flow helps ease the deal’s financial demands. As of the end of April, the company held $4.35 billion in cash and marketable securities, compared to $2.99 billion in debt. That left net cash around $1.36 billion.

The closing price was 18% higher than the average analyst target, reflecting how takeover speculation has overtaken most independent valuations. New $220 price targets suggest just around 7% potential gains.

The report led to changes in valuations for related software stocks. HubSpot, Inc. surged 14.46%, and Docusign, Inc. climbed 10.31%. Salesforce, Inc. was up 4.16%, while ServiceNow, Inc. gained 1.85%.

The widespread rally indicates that investors view private-equity interest as setting a valuation floor for the sector. The effect is most notable for firms with recurring revenue, healthy cash flow, and struggling share prices.

Risks: Discussions are at an early stage and could conclude without a bid. Securing funding for a deal exceeding $50 billion might necessitate additional partners, and offering a smaller premium would provide limited gains over Thursday’s closing price. If the process falls through, much of the 18% rise could reverse.

Workday heads into Friday’s session with some of the deal premium already reflected in its share price. Investors must now see proof that a bidder will offer more than $219 per share, or that Workday’s cash-flow growth justifies the valuation on its own.

Further analysis

What caused Workday shares to climb close to 18%?
Reuters reported that Silver Lake is negotiating a potential purchase of Workday. News of the talks pushed the share price to $206.45 on August 13, increasing equity value by about $8.1 billion. The negotiations may not result in a deal, meaning some or all of the gains are uncertain.
What acquisition price does the market suggest for Workday?
A 25% premium above the estimated undisturbed price would suggest a value of roughly $219.11 per share, amounting to $53.75 billion in equity. As of Thursday’s market close, the potential upside to that scenario was just about 6%. No confirmation has been given for any reported bid price.
Is Workday’s financial structure sufficient to back a sizable leveraged buyout?
Workday reported $2.777 billion in free cash flow for fiscal 2026 and had approximately $1.36 billion in net cash as of April. Valuing the company with a 25% premium suggests an enterprise value around 18.9 times its free cash flow. Such a deal would require significant equity funding, and likely participation from more investors.
What is the primary concern facing Workday shareholders at this time?
The primary concern is that negotiations may either collapse with no agreement or result in an offer nearly matching the present market price. Workday shares had declined around 15% in 2026 ahead of the news, and an unsuccessful outcome could effectively wipe out much of Thursday's gains.

August 14, 2026 — 08:16 ET: Futures stay near flat as Reddit leads a sharp premarket mover split

U.S. equity futures remained tightly range-bound in the latest premarket hour, with S&P 500 futures up about 0.05% while Dow futures slipped 0.21%. The quiet index-level move masked much larger swings in individual stocks, led by Reddit and Nu Holdings.

Reddit jumps more than 11% before the bell

Reddit (NYSE:RDDT) was up about 11.2% in the latest premarket trading, making it one of the session's largest liquid U.S. stock movers. The rally follows the company's selection for inclusion in the S&P 500, a change that can generate substantial index-fund demand for the shares.

Nu Holdings (NYSE:NU) was also trading sharply higher, up about 9.7%, while Procore Technologies, Sandisk and AAON were each showing gains of more than 6%. On the downside, Essex Property Trust was off roughly 10.2% and Range Resources was down about 7.3%.

Oil remains a restraint on risk appetite

The broader futures market remained restrained as higher crude prices continued to reflect Middle East geopolitical risk. Brent futures were recently up about 0.16%, while gold futures slipped around 0.20%. The combination of firmer oil and a 4.656% 10-year Treasury yield is keeping the major equity indexes from following the strongest individual premarket gainers higher.
