SoundHound AI Inc. rose 4.2% to $6.42 during Monday trading. The stock remained below the $7 exchange-price floor in its pending purchase of LivePerson Inc. NASDAQ:LPSN.
That gap matters before SoundHound reports results on August 5. Preliminary filings show combined quarterly revenue more than doubles, while the estimated share base rises about 10%.
The arithmetic points to a potential doubling of revenue per share. It also raises the bar for margins and cash use.
The deal uses a 10-day volume-weighted price ending three trading days before closing. Prices below $7 are treated as $7, while prices above $12 are capped. Monday’s spot price does not determine the final exchange ratio.
Under its preliminary case, SoundHound expects to issue about 42.6 million shares. That equals roughly 10% of its March 31 common share base.
The SEC’s unaudited first-quarter pro forma shows the trade-off. Per-share calculations use the March 31 share base.

The largest change is margin mix. Pro forma gross margin rises sharply, while the operating loss stays near $22 million. Those figures remain preliminary.

SoundHound kept its 2026 revenue outlook at $225 million to $260 million. At Monday’s price, its $2.76 billion market value equals about 11.4 times the guidance midpoint. The multiple makes gross-margin delivery central.
Consensus expects a 12-cent Q2 loss per share. That compares with nine cents three months earlier. Seven analysts rate the stock a buy, while two recommend holding it.
Monday’s gain was not isolated. C3.ai Inc. NYSE:AI rose 8.8%, while BigBear.ai Holdings Inc. NYSE:BBAI added 2.9%. That suggests some demand extended across smaller AI software names.
SoundHound reports after the close on August 5. LivePerson shareholders vote on August 20. All required foreign investment clearances were received by July 20, though shareholder approval and other conditions remain.
Risks remain. The pro forma data are unaudited. LivePerson has faced revenue declines, and integration could delay margin gains. SoundHound used $26.3 million of operating cash during Q1.
Investors should focus on organic growth, gross margin and cash burn next week. A revenue beat alone will not settle the per-share economics.
