Shares of Nebius Group N.V. NASDAQ:NBIS declined 10.8% to $221.49 on Wednesday, after the company announced a $4.5 billion sale of convertible notes. Trading in the U.S. cash market remained open.
The funding appears significant on its own but is overshadowed by Nebius’s expansion. The principal amount corresponds to 79.5% of the $5.66 billion allocated to property, equipment and intangibles in the second quarter.
The gap highlights the investor challenge. Nebius is raising funds at a rapid pace, but infrastructure investments continue to exceed the value of each deal. Around $6.9 billion in equity value was wiped out by 09:50 EDT, according to the share price movement and the latest share count.

Nebius is set to issue $2.75 billion in notes maturing in 2030, alongside a separate $1.75 billion tranche with a 2034 maturity. Buyer options could increase total proceeds to $5.175 billion. The deal’s completion depends on market conditions.
The company intends to allocate proceeds to data centers, graphics processors, and its AI cloud. It further aims to swap a portion of its 2029 and 2031 notes for Class A shares, a move that introduces an additional dilution risk.
