Nebius Shares Drop 11% as $4.5 Billion Bond Finances 80% of Quarterly AI Budget

AMSTERDAM, August 19, 2026, 15:50 CEST

  • Nebius stock dropped 10.8% following an announced $4.5 billion convertible note offering.
  • The initial agreement represents roughly 80% of the company’s infrastructure spending for a single quarter.
  • The average analyst price target suggests a potential 24% increase from the 09:50 EDT price.

Shares of Nebius Group N.V. declined 10.8% to $221.49 on Wednesday, after the company announced a $4.5 billion sale of convertible notes. Trading in the U.S. cash market remained open.

Stock chart for NASDAQ:NBIS

The funding appears significant on its own but is overshadowed by Nebius’s expansion. The principal amount corresponds to 79.5% of the $5.66 billion allocated to property, equipment and intangibles in the second quarter.

The gap highlights the investor challenge. Nebius is raising funds at a rapid pace, but infrastructure investments continue to exceed the value of each deal. Around $6.9 billion in equity value was wiped out by 09:50 EDT, according to the share price movement and the latest share count.

Nebius is set to issue $2.75 billion in notes maturing in 2030, alongside a separate $1.75 billion tranche with a 2034 maturity. Buyer options could increase total proceeds to $5.175 billion. The deal’s completion depends on market conditions.

The company intends to allocate proceeds to data centers, graphics processors, and its AI cloud. It further aims to swap a portion of its 2029 and 2031 notes for Class A shares, a move that introduces an additional dilution risk.

Investors in convertibles may offset their positions by short selling stock, which can intensify short-term downward pressure, even if the company’s prospects remain stable. In March, Nebius raised $4.3375 billion through a convertible bond offering.

Business momentum continues to be robust. Revenue for the second quarter climbed 454% to $582.3 million. Adjusted EBITDA came in at $236.2 million, exceeding the $168.9 million forecast from analysts cited by Investopedia.

Chief Executive Arkady Volozh announced that Nebius has increased its contracted-power goal for the end of the year to 5 gigawatts. “We continue to build our future capacity pipeline through our own and co-located sites,” he said. Nebius second-quarter results

The projections reflect the balance. Consensus revenue is expected to increase by over six times this year. However, early estimates for free cash flow drop to negative $18.09 billion. Some of the growth is supported by customer prepayments, with capital markets supplying additional funding.

The consensus price target from 14 analysts stands at $274.57, suggesting shares could gain 24.0% from Wednesday’s close. Targets vary significantly, from as low as $144 up to $410. The need for financing accounts for some of the divergence.

Risks. Be aware that pricing is subject to change, and the transaction may not complete. Additional hedging activities or share swaps might impact the stock price. Quicker deployment, increased prepayments or heightened AI-cloud demand could alleviate future funding constraints.

The following indicator is note pricing. Conversion conditions will reveal the level of dilution investors expect. Subsequently, contracted power and the pace of cash deployment will determine if Nebius is able to scale into its financing structure.

Nebius: growth meets the funding bill

A proposed $4.5 billion convertible sale covers just 80% of one quarter’s infrastructure spending. The stock’s reaction was larger than the deal itself.

What changes the thesis next

1 · Conversion termsThe premium and coupon will reveal the dilution price investors demanded.
2 · Cash deploymentWatch whether customer prepayments keep pace with the data-center build.
3 · Contracted powerThe 5 GW year-end target matters only if capacity converts into revenue.

Risk check: the note sale is subject to market conditions. Short hedges and share exchanges can add pressure. Stronger bookings, prepayments or faster capacity activation could ease future funding needs.
